Proença de Carvalho advises on biomass plant sale
Proença de Carvalho has advised the majority shareholder in the sale of the majority stake in Termogreen—a company dedicated to waste treatment for the purpose of electricity production—to Bianna Group, a Spanish multinational specializing in engineering, design, manufacturing of equipment, and innovative solutions for the treatment of various types of waste.
In the words of partner André Matias de Almeida, “any cross-border transaction adds layers of complexity, which are further compounded when it involves the sale of only part of the share capital, especially when the buyer is a multinational well-prepared for acquisition processes.”
The Proença de Carvalho team was led by partner André Matias de Almeida (pictured). The transaction was coordinated by M&A associate Igor Amarii, with the collaboration of lawyers Mariana Castro Pereira and Bruno Matias.
