Santiago Mediano allies with Nexure Advisory

Santiago Mediano has signed a collaboration agreement with Nexure Advisory to reinforce its legal advisory service in critical software licensing. According to the law firm, the alliance combines Nexure’s proprietary, AI-assisted diagnostic methodology with Santiago Mediano’s legal expertise, aiming to give companies an objective, preventive assessment of their contractual exposure before disputes with software vendors arise.

“Companies are increasingly receiving licensing audits from their software providers and often enter negotiations without having first measured their real exposure, putting them at a disadvantage. The new joint service, called ‘Software License Advisory’, was created to close that gap through a preventive approach, diagnosing risk before conflicts materialize”, states Santiago Mediano.

Santiago Mediano has advised companies on the review, negotiation and legal management of software contracts, particularly in procurement, renewals, manufacturer audits and licensing disputes. Under the new agreement, the firm incorporates Nexure’s proprietary methodology, assisted by specialised AI, to produce an initial objective and comparable assessment of each organisation’s contractual exposure.

Service scope and structure

The service covers the full lifecycle of a software contract, spanning procurement (review of critical clauses and contractual strategy), renewal (assessment of conditions and detection of regressive clauses), manufacturer audits (preparation, legal supervision and negotiation) and dispute management (pre-litigation strategy, mediation, arbitration or litigation). For in-house legal departments, the service also includes Nexure’s legal-business module, a redlining roadmap that, for each identified risk, provides the applicable regulatory basis, a template clause ready for insertion with tracked changes, a subsidiary alternative and a recommended acceptance threshold for internal counsel.

With Nexure Advisory’s methodology, Santiago Mediano will support clients in the legal interpretation of identified risks, defining a contractual strategy, reviewing critical clauses, preparing renewals and, where necessary, responding to manufacturer audits or claims.

The service is aimed at companies that depend on critical software for their operations, face relevant contract renewals, have received audit communications from manufacturers, or wish to preventively review their contracts before facing claims, price increases or changes in licensing conditions.
