Pérez-Llorca advises Portobello on Martínez Otero deal

Pérez-Llorca has advised Portobello Capital, a private equity manager, on the acquisition of a majority stake in Martínez Otero, a company based in Pontevedra specialising in the design, manufacture and installation of furniture and interior design solutions. Martínez Otero counts Inditex, Carolina Herrera, Bimba y Lola and Loewe among its clients.

Coinciding with the fund’s move, Martínez Otero carried out its first acquisition by integrating Grupo Bermúdez Solutions, a company specialised in technological furniture for commercial establishments. The operation broadens Martínez Otero’s value proposition and results in a more complete and differentiated offer for current and future clients, says Pérez-Llorca.

The combination of the two companies creates a group with revenue of around €150 million and an EBITDA of close to €16 million. The integration strengthens the group’s capacity to offer higher value-added solutions, expand its international reach and respond more swiftly to increasingly complex projects, drawing on the complementary industrial, technological and commercial capabilities of both businesses.

Portobello’s entry into the company forms part of the investment strategy of its Fund V, which reached a final size of €710 million. The vehicle has already begun deploying capital through transactions such as the acquisitions of Portugal’s DualParts and Spain’s The Béaba Suavinex.

The Pérez-Llorca team advising Portobello Capital was led by Ángel Martín, corporate partner, together with Ignacio Salas, Santiago Maldonado, and Pablo Matesanz, lawyers in the same department. The Banking & Finance side of the deal was handled by Ildefonso Arenas, partner, with support from lawyers María Ruiz-Gollury, and África Rodríguez.
