Freshfields and Deloitte on Amadeus €1.2B acquisition of Idemia

Freshfields and Deloitte have advised Amadeus IT Group on the acquisition of Idemia Public Security (IPS) in a deal valued at €1.2 billion. The deal aims at strengthening its biometric and digital identity capabilities. The transaction is subject to customary regulatory approvals, with closing expected in mid-2027.

Freshfields is advising on the debt commitment documentation, while Deloitte is advising across financial, tax, technology and value-creation workstreams, covering due diligence, SPA advice and transaction structuring under its end-to-end M&A approach.

Headquartered in France, IPS is a player in biometrics and digital identity, employing around 3,300 people worldwide and serving more than 600 public and private sector clients, including governments, border authorities and law enforcement agencies. Amadeus said the acquisition would enhance its identity portfolio by integrating IPS’s market-leading technology, end-to-end platform and blue-chip client base. The deal also includes an earn-out mechanism to align long-term value creation between the parties.

Deloitte’s advisory team included partners Gonzalo Mayo Arias, Javier Hornedo, Iñigo Zayas Pinedo and Alberto Puente, alongside Belén Cabrera Zaragoza (director) and senior managers Gonzalo Martín Herrero, Covadonga Muñoz González and Álvaro Munilla.
