DLA Piper and EY support Lutech’s expansion in Spain

DLA Piper and EY have supported Lutech, an Italian player in digital technology and AI, in acquiring SAPIMSA (a SAP Gold Partner) and Netinex, two Spanish companies based in Madrid and Oviedo, respectively. These acquisitions will enable the Lutech Group to further strengthen its presence in the Spanish market, foster significant synergies with the Italian team, expand SAP expertise, offer even more integrated and innovative solutions to its clients, and attract top talent.

DLA Piper provided legal assistance to Lutech with a multi-jurisdictional team led by partner Christian Iannaccone (pictured left). The Italian team, which coordinated all phases of the transaction and assisted with the negotiation and drafting of related contracts, included lawyers Federico Roviglio, Giorgia Grande, and Elena Wang. For Spanish legal matters, the team comprised partner Joaquin Echanove Orbea and lawyers Luis Borrero Zorita and Jorge Rahona Toledo for corporate aspects, as well as partner Paz De La Iglesia Andres and lawyer Jesus Sanchez Dominguez-Guilarte for labor law issues.

EY, on the other hand, supported Lutech in financial, tax, HR, and compliance due diligence with a cross-country team led by Alessandro Bucci and Maria Fusco. The Italian team included Roberto De Bernardinis and Raffaele Puglisi (tax due diligence), Juljana Xhafa and Paola Barresi (HR due diligence), and Piero Di Michele and Alice Brusinelli (compliance due diligence). The Spanish team comprised Elena Más and Salvador Domecq (financial due diligence), Manuel Paz and Elia Alonso (tax due diligence), and Stefano Di Miceli (compliance due diligence). Lincoln International acted as the financial advisor for the transaction, with Oliver Dino-Guida and Ignacio Garcia.

The sellers were advised by Equipo Económico, with partners Manuel de Vicente-Tutor Rodríguez (pictured right) and Francisco Piedras, and associates Irene Carrera, Pierre Moinet, Reyes Gil, and Francisco Sanchez.
