Cuatrecasas advises Vintae on restructuring plan

Cuatrecasas has advised Spanish wine group Vintae on the design, negotiation, court approval and implementation of a restructuring plan that has enabled the company to acquire control of 90% of the share capital of Bodegas Riojanas, one of the most historic wineries in Spain.

The transaction marks the culmination of a restructuring process aimed at ensuring the viability and continuity of the Rioja-based winery, which was facing significant financial difficulties and an imminent insolvency scenario.

According to Cuatrecasas, the deal represents a milestone in the Spanish restructuring market, as it allows an industrial investor to gain control of a listed company through a restructuring plan under Spain’s insolvency framework. In this case, the acquiring party is a wine group operating in the same industry, highlighting the growing role of strategic investors in corporate restructuring transactions.
