GA_P advises Indra Group on 30% stake in TRC
Gómez-Acebo & Pombo has advised Indra Group, through its subsidiary IndraMind, on the acquisition of a 30% stake in Spanish cybersecurity company TRC Informática, with options to increase its interest to 100% within the next two years.
TRC is a Spanish technology company specialising in cybersecurity and the protection of information systems and networks in strategic areas of national interest. The company generates more than €120 million in revenue and has a workforce of over 400 professionals.
Its capabilities include artificial intelligence applications for border protection, sensor integration for emergency services and cybersecurity solutions for the defence and interior sectors. TRC is the parent company of a group with subsidiaries in Spain and Portugal and a branch in Guatemala.
The agreement also includes call options that could allow Indra Group to acquire the remaining shares in TRC over the next two years, subject to the fulfilment of the agreed conditions. The transaction is also subject to customary conditions precedent, including clearance from Spain’s National Markets and Competition Commission (CNMC).
The team
The Gómez-Acebo & Pombo team advising Indra Group was led by Guillermo Guerra Martín and included lawyers from several practice areas in Spain and Portugal.
In Spain, the corporate team comprised Irene Carreño Álvarez, Sergio Gómez López, Salvador Espinosa de los Monteros and Borja Godoy Espinosa de los Monteros. The competition team included Andrew Ward and Jesús Antonio Urriza Rodríguez, while Rocío Arias Plaza and Antonio Navarro Sanz advised on tax matters.
The real estate team comprised Jaime Hidalgo Labat and Santiago Mazzuchelli Morales, with Ignacio García Rodríguez advising on banking matters. The public law team included Irene Fernandez Puyol, Juan Ignacio Romero and Soledad Becerril, while Bárbara Sainz de Vicuña, Camino Bustinduy de la Guerra and Nicolás Morales advised on intellectual property.
The employment team comprised Delia Castaños Domínguez and Ignacio Luis Campos.
