CCS advises Abellcon 3 on its sale to Checkpoint Systems

CCS Abogados has advised Abellcon 3 on its sale to the Canadian group CCL, through its subsidiary Checkpoint Systems

The transaction has been particularly complex due to the difficulty of executing the sale operations simultaneously in five countries with different legal regimes.

Abellcon 3, founded in A Coruña more than 25 years ago by Charly L. Conde, is dedicated to the manufacture of clothing labels with its own production plants in Spain, Portugal, Morocco, Turkey and China. It has a workforce of approximately 380 people, serving more than 45 countries and more than 1,000 customers.

Checkpoint Systems is a company specialising in theft management and Rfid solutions. It offers solutions for the entire supply chain, preventing stock breakage and reducing theft.

The CCS Abogados team that advised Abellcon 3 during the transaction was led by partner Miguel Caamaño (pictured).

On this deal, Caamaño said: “This operation was a complex challenge because it was carried out in five different countries, with different legal regimes, particularly commercial and fiscal, with very different business cultures and also in five different languages. The preparation work was intense and challenging, but the execution of the signing in five notary offices in countries as different as Spain, Portugal, Morocco, Turkey and China on 29 July went perfectly.”
