Araoz & Rueda advises Vivendi in successful Mediaset case
Araoz & Rueda advised Vivendi on its successful court appeal related to the proposed cross-border Mediaset group merger.
The Madrid Commercial Court upheld in full the appeal brought by Vivendi against Mediaset España’s proposal to merge Mediaset España and Mediaset S.p.A. into a Dutch vehicle.
The court found that the proposed merger was unlawfully imposed by Mediaset and Fininvest to the detriment of minority shareholders and that the proposed merger did not meet a reasonable business need.
