Uría Menéndez and Pérez-Llorca on €600M Ayesa sale to Colliers

Colliers has signed an agreement to acquire Ayesa Engineering from A&M Capital Europe and the Manzanares family for €600 million. Colliers was advised by Uría Menéndez, and Ayesa was advised by Pérez-Llorca and Weil, Gotshal & Manges as legal advisors. The transaction is expected to close in the second quarter of the year, subject to the relevant regulatory approvals.

Colliers is a Canadian multinational listed on Nasdaq and the Toronto Stock Exchange, with global revenues of €4.64 billion. The acquisition aims to strengthen its engineering division and expand its footprint across Europe, Latin America, the Middle East and South Asia, complementing its established markets in the United States, Canada and Australia.

Founded in 1966, Ayesa Engineering employs more than 3,200 professionals across 21 countries. Over the past three years, following A&M Capital Europe’s majority investment, the Seville-based firm has tripled in size, surpassing €312 million in revenues. Under the Colliers platform, the firm will continue to execute its growth plan.

Uría Menéndez has advised Colliers on this complex transaction, which involved multiple offices of the firm and a multidisciplinary team of more than 40 lawyers.The matter was led from the firm’s London office by Juan Carlos Machuca, M&A partner, with support from Manuel Delgado, Laura Barroso and Sara Gómez from the M&A team; Nerea Torrontegui from the employment team; and Ingrid Pi, Leticia López-Lapuente, Cristina Manrique and Ignacio Esteban from the IP/IT team, among others. Uría also acted as legal coordinator across all international jurisdictions involved in the transaction.

Pérez-Llorca advised Ayesa Engineering on the transaction through a multidisciplinary team composed of corporate M&A partners Julio Lujambio, José Luis Romeu, Bojan Radovanovic and Melchor Álvarez de Mon (all pictured from left to right), supported by Beatriz Sánchez, Roberto Funes and Javier Ihatsu (corporate M&A). The team was further complemented by Isabel Villa (banking & finance), Norma Peña and Sergi Aguilar (tax), Isabel Moya and Paola Vegazo (employment, compensation and benefits), and Andy Ramos, together with Alicia Maddio, Álvaro Lobo, Patricia Molina, Luisa Galiana and Michelle Camerlo (intellectual property and technology).
