Proença de Carvalho advises Kruso Kapital on Euronext Milan trading
Proença de Carvalho has advised Kruso Kapital, an Italian holding company specialising in pawn credit activities and in the auction market for jewellery, precious metals and works of art, on the Portuguese law aspects of the admission to trading of its ordinary shares on Euronext Milan, a regulated market organised and managed by Borsa Italiana.
The Portuguese firm’s mandate centred on advising Pignus – Crédito Económico Popular, a Portuguese subsidiary of Kruso Kapital. The scope of work included conducting the legal due diligence process in Portugal, assisting in the preparation and review of Portugal-related disclosures in the transaction documentation and in the admission to trading prospectus, and providing ongoing legal advice on all Portuguese law matters relevant to admission to trading on a regulated market.
The transaction involved capital markets, corporate law, financial regulation and international due diligence matters across multiple jurisdictions.
