Proença de Carvalho advises Grupo TMB on Transnautica deal

Proença de Carvalho has advised Grupo TMB on the incorporation of a business unit from Transnautica, one of Portugal’s oldest freight forwarding companies, in a deal spanning road transport and logistics operations.

The transaction involved the acquisition by Grupo TMB of a business unit from Transnautica in the road transport and logistics sector, encompassing assets, contractual relationships and all other elements connected to the transferred activity. Transnautica, a long-standing operator in Portugal’s international logistics and transport sector, recorded a turnover of approximately €40 million in 2025.

The legal team at Proença de Carvalho provided comprehensive legal advice to Grupo TMB across all phases of the deal, including due diligence, structuring and negotiation, as well as the business unit transfer and the related contractual documentation.

Grupo TMB, one of Portugal’s road carriers, aims at strengthening its market position through this acquisition. The company was itself acquired approximately one year ago by Grupo Zelo, led by João Barros and Miguel Venâncio, in a transaction aimed at driving its growth and consolidation in the sector.
