Pérez-Llorca and Uría Menéndez on Italgas-Floene deal
Pérez-Llorca has advised the Italgas group on a binding agreement with Marubeni and Toho Gas for the acquisition of 100% of the share capital of Meet Europe Natural Gas, which holds a 22.5% stake in Floene, a gas distribution operator in Portugal. Uría Menéndez acted for the sellers, Marubeni and Toho Gas.
The transaction fits into the M&A-driven growth strategy set out in Italgas’s 2026-2032 Strategic Plan. It will allow the Italian group to take on a significant industrial role in Portugal. Pérez-Llorca acted as Italgas’s Portuguese legal counsel, working closely with Italian law firm Legance. It advised on all aspects of Portuguese law relevant to the transaction.
