Oakberry and Fortitude acquire Portuguese master franchise: advisors

CRS Advogados provided legal counsel to the Portuguese company holding the master franchise of Oakberry in Portugal, in an M&A transaction that resulted in the sale of that company to Oakberry itself and Fortitude Capital. The purchasers were advised by the Brazilian law firm IW Melcheds, acting as global counsel to Oakberry, with the support of the law firm Uría Menéndez. Fortitude Capital was represented by the law firm Vieira de Almeida & Associados (VdA).

The deal that transferred the Oakberry master franchise in Portugal resulted in the creation of a joint venture between Oakberry and Fortitude Capital, Oakberry Southern Europe. This new structure, formalized in January 2025, aims to drive the expansion of the Brazilian brand in Portugal and other European markets such as Spain and Italy.

The CRS Advogados team was led by partners Nuno Pereira da Cruz and Filipe Pereira Duarte, with the collaboration of tax partner Raquel Galinha Roque.

On Uría’s side, the deal was led by co-managing partner Antonio Villacampa and partner Joana Torres Ereio.

The VdA’s team was composed of partner and head of the corporate M&A practice area Cláudia Cruz de Almeida, managing associate Joana Silva Leal and associate Andreia Vidal Tam.
