Rafael Sebastián and María Noguera have founded Noguera Sebastián, an independent firm based in Madrid specialising in business law, with particular focus on mergers and acquisitions and corporate governance, as well as real estate and financial matters. Both founding partners previously worked at Uría Menéndez, where they spent years advising on corporate matters, M&A transactions, and debt refinancing and restructuring processes. That shared background has shaped the scope of the new firm.

Rafael Sebastián focuses his practice on M&A transactions, corporate law and banking law, with experience advising companies in financial distress and acting in complex insolvency proceedings and restructuring processes.
The profiles
Rafael Sebastián spent most of his career at Uría Menéndez, which he joined in 1990, eventually becoming the partner responsible for the corporate department and heading the firm’s offices in New York, Barcelona and Madrid. Before that, he held the positions of head of legal advisory, general secretary and secretary of the board of directors at Citibank España. Throughout his career he has advised on M&A transactions, corporate restructurings and insolvency proceedings involving Spanish and international companies.
María Noguera concentrates her practice on company sale-and-purchase transactions, financing and corporate restructuring, with a particular presence in the real estate sector, where she advises on asset deals, holding companies and investment vehicles. She also regularly advises on corporate law and governance matters. Before co-founding Noguera Sebastián, she built her career at Uría Menéndez, advising national and international companies on corporate and governance matters as well as on debt restructuring and corporate reorganisation processes.
