ML, VdA advise investors on Mota-Engil stake acquisition

Morais Leitão and Vieira de Almeida have advised Mota Gestão e Participações and China Communications Construction Co on the acquisition of a stake in Mota-Engil 

pjimage 2021 06 02T080903.182In one of the most emblematic deals of the year in Portugal, which consisted of the acquisition of a 32.41% shareholding position, corresponding to 33.07% of the votes in Mota-Engil by China Communications Construction Co., Ltd. (CCCC), which is one of the largest construction groups worldwide, Vieira de Almeida and Morais Leitão were the legal advisors to CCCC and MGP, respectively.

Vieira de Almeida’s multidisciplinary team (M&A and Capital Markets) was coordinated by partners Jorge Bleck (pictured left), Helena Vaz Pinto and José Pedro Fazenda Martins. They were assisted by lawyers Isa Rodrigues and Maria Carolina Centeno. Morais Leitão’s team was coordinated by partner Carlos Osório de Castro (pictured right) from the Corporate, Mergers & Acquisitions team, and included partners Eduardo Paulino, Paulo Rendeiro and trainee Pedro Charters.

The acquisition of the stake in Mota-Engil corresponds to a mixed transaction of purchase of shares and subscription of new shares in the context of the share capital increase of Mota-Engil. As a result of this CCCC became one of the reference shareholders of Mota Engil, holder of a 32.41% stake.

In the context of the Public Subscription Offer the banks Caixa – Banco de Investimento, S.A. and Haitong Bank, S.A., also relied on VdA’s advisory services in the Banking and Finance area, coordinated by partner Hugo Moredo dos Santos and assisted by a team of lawyers that included Maria Carrilho, Soraia Ussene, José Miguel Carracho, Beatriz Francisco da Costa and David Palma.
