Miranda advises Grupo Balflex on cross-border sale

Miranda & Associados advised the shareholders of Grupo Balflex in the sale to the Spanish company Sakura Global Manufacturer, majority-owned by the private equity fund Henko Capital Partners. In Spain, Miranda was supported by the Spanish law firm Ramón y Cajal Abogados. Henko was represented by the Madrid office of Bird & Bird. Established in the early 1960s, Balflex is an international group of companies dedicated to the design, production, and distribution of high-pressure hydraulic components.

The transaction was preceded by a complex multi-jurisdictional restructuring of Grupo Balflex and the creation of a new holding company in Spain, involving nine jurisdictions—most notably Portugal, Spain, Germany, Brazil, Chile, Peru, and the United States, where the group has operations. “This operation further tested Miranda’s capability in supporting cross-border and multi-jurisdictional transactions, including the coordination of legal teams based in various countries”, states the Portuguese law firm.

The Miranda team included lawyers from several practice areas in the Lisbon and Porto offices, particularly focusing on commercial & corporate and tax.
