L&W advises Digitex on its Colombian JV acquisition

Latham & Watkins has advised Digitex on the purchase of the remaining 49 per cent of its Colombian joint venture

Digitex has acquired all the capital of Digitex Servicios BPO&O that was in the hands of Fundación Grupo Social, Fundación Emprender Región and investment company of Colmena Seguros.

Latham & Watkins provided legal advice to Digitex on the sale & purchase agreement, closed on July 16, 2020, by which it has acquired the entire participation (the remaining 49 per cent) of the aforementioned companies in the Joint Venture Digitex Servicios BPO&O S.A,  thus taking over the entire corporation, in addition to executing two long-term service contracts with the vendors’ subsidiaries.

Digitex is a mixed-capital Colombian company headquartered in Bogotá that provides business process outsourcing (BPO) services, specialising in call centre telephone services.

L&W advised Digitex on the renewal of the terms and conditions of its two main BPO contracts in Colombia with a team led by Madrid office Commercial counsel Ignacio Domínguez (pictured), along with associate Ori Assa.
