L&W advises Cerner on the sale of its healthcare business for €225m

Latham & Watkins has advised Cerner Corporation on the sale of its Spanish healthcare information services business unit, present in Spain and Germany, to the German company CompuGroup Medical

The operation, valued at €225 million, includes the change of ownership of Selene Hospitales, a hospital information system widely implemented in Spain.

The transaction involves the change of ownership of Cerner Medico subsidiaries, Soarian Health Archive, Soarian Integrated Care and Selene -the latter widely used in hospitals in our country.

Cerner is an American health technology solutions, services and devices provider listed on Nasdaq (CERN), and its customer base comprises 251 hospitals in Germany and 65 public hospitals in Spain.

The operation was carried out by a multidisciplinary cross-border team led by Madrid office Commercial counsel Ignacio Domínguez Mateos (pictured left) and Düsseldorf office Commercial partner Natalie Daghles (pictured right). In the Commercial area, the transaction has also been assisted by Madrid Commercial associate Marino Aineto. On the Tax side, partners Thomas Fox (Munich) and Jordi Domínguez(Madrid) and associate Juan Rodríguez (Madrid) have also participated. Partner Naiara Rodríguez-Escudero advised on Labour matters, while counsel José María Alonso was in charge of Public law aspects (both from Madrid office).
