J+Legal and Uría advise on Grupo Vale da Rosa acquisition
J+Legal has advised the MCH Private Equity fund, through its portfolio company Iberian Premium Fruits (IPF), in partnership with SanLucar Fruit (SanLucar), on the acquisition of Grupo Vale da Rosa. The founding family and Grupo Vale da Rosa were advised by Uría Menéndez. In this transaction, J+Legal also worked closely with the Spanish law firm Anaford.
The transaction was structured via a bridge loan with subsequent conversion into equity. IPF, owned by MCH Private Equity, focuses mainly on the production and distribution of citrus and other fruit categories, with operations in Spain and South Africa. SanLucar, a Spanish company, produces and distributes fresh fruit across various categories — including grapes, citrus, strawberries, and stone fruit — and is active in European markets, as well as in Tunisia, South Africa, and Ecuador. Grupo Vale da Rosa, headquartered in Portugal, produces and wholesales seedless table grapes under the Vale da Rosa brand.
On J+Legal’s side, the deal was handled by a team led by partner José Diogo Horta Osório and senior associate Rui Bello da Silva.
On Uría Menéndez’s side, the legal team was led by David Sequeira Dinis (partner), and included Luís Bértolo Rosa (counsel), Alexandra Silva, Teresa Gonçalves (associates) and João Gama Lobo (trainee), all from the litigation, restructuring and insolvency practice. On real estate matters, the team comprised Alexandre Pedral Sampaio (counsel) and Susana Piteira Santos (associate). Tax advice was provided by Catarina Fernandes (managing associate).
