Hogan Lovells Cadwalader advises Mapfre on Safety
Hogan Lovells Cadwalader has advised Mapfre in connection with its pending acquisition of Safety Insurance Group, a property and casualty insurer with a presence in Massachusetts and across New England. The all-cash transaction is valued at US$1.54 billion and forms part of Mapfre Group’s growth strategy in the United States.
Deal Details
The acquisition has been unanimously approved by the boards of directors of both companies and is expected to close in the first quarter of 2027. The combination is intended to strengthen Mapfre’s profitability and stability in the U.S. market, reinforcing its ability to retain talent, deepen relationships with agents and clients, and improve product and service offerings. Safety is expected to continue operating within the Mapfre Group structure following completion.
Legal Team
The Hogan Lovells Cadwalader cross-border team advising Mapfre was led by Peter Cohen-Millstein, M&A Partner in New York, together with Iñigo Berricano, Partner in Securities & Public Company Advisory in Madrid, Fernando Calancha, Regulatory Partner in Madrid, and Adrienne Ellman, M&A Partner based in New York and Boston. The coordinated effort across the firm’s Madrid, New York and Boston offices reflected the cross-border and cross-practice nature of the transaction, which required navigating regulatory requirements across multiple jurisdictions in a heavily regulated sector.
