Dentons advises Engie on the acquisition of a majority stake in biomass-powered district heating network in Ávila

Dentons has advised Engie on its acquisition of a majority stake in Ávila Eco Energías, the developer of a biomass-powered district heating network in the city of Ávila. The project, which is nearing completion, represents a significant addition to Engie’s portfolio of sustainable energy infrastructure and is poised to become a benchmark for renewable heating solutions in urban areas.

The Ávila district heating network will provide energy generated from forest biomass, reducing carbon emissions and contributing to Spain’s transition towards a more sustainable energy model. This acquisition further cements ENGIE’s leadership in Spain’s heating and cooling sector, complementing its existing projects in Barcelona, Zaragoza, Palencia, and other key cities.

The team provided comprehensive legal advice across multiple disciplines, including project finance, regulatory compliance, and environmental law, ensuring the seamless completion of this complex acquisition.

The transaction was led by Dentons’ M&A Energy partner Fermín Garbayo, with the collaboration of associates Carlota Sepó, Manuel Lamela and support by a multidisciplinary team from Dentons Madrid including regulatory partner Javier Moya, and corporate partners Jesús Durán and Nieves Briz.
