Cuatrecasas and Garrigues in AC Capitales investment in Colombia
Cuatrecasas has advised AC Capitales SAFI S.A. and AC Capitales Infrastructure II GP LLC. on the negotiation and execution of a subscription agreement, shareholders’ agreement and EPC contract in connection with the acquisition of a 30% stake in Doble Calzada Oriente S.A.S., an infrastructure project of great importance for Colombia.
The participation of AC Capitales and its entry as a shareholder of the concessionaire is of vital importance, it will provide greater solidity and stability to the project. AC Capitales manages investment funds focused mainly on the infrastructure and real estate sectors. In addition, it invests in private capital companies and projects, with a medium and long-term maturity outlook.
This was a complex transaction involving the structuring and negotiation of a large number of contracts and agreements that served as the basis for consolidating the participation of AC Capitales in the Doble Calzada Oriente concessionaire.
The team participating in the deal has been made up of Cuatrecasas’ lawyers: partner Alfonso Reina, partner Alessia Abello, associate Andrés Felipe Saldarriaga and partner Ana María Sanchez.
Garrigues acted with a team from Colombia comprising Adriana Espinosa Piñeros (partner), Andrés Ordóñez-Rizo (partner), Cristina Copete Herrera (senior associate), Iván Mauricio Fierro (senior associate), Juan Manuel Ospina Peralta (associate) and Santiago Villamil Ospina (associate).
