Cuatrecasas advises HMS on Robot takeover bid

Cuatrecasas has advised HMS Industrial Networks on the launch of a public takeover bid (OPA) for 100% of the share capital of Robot, a company listed on BME Growth that specializes in the design, manufacturing and installation of intelligent systems for building control.

The process has been structured to favor the acquisition of 100% of Robot with the aim of securing the success of the offer and delisting the company from BME Growth, while safeguarding the rights of the target’s minority shareholders.

The integration is expected to strengthen HMS’s position in the building automation sector, an area where its offering currently centers on gateways for monitoring and on the control of heating, ventilation and air conditioning (HVAC) equipment. The products HMS will incorporate through the acquisition are intended to broaden its portfolio, allow it to offer additional services to its client base and present a specialized value proposition for hotels, positioned higher up the value chain.
