Bird & Bird assists Eiffel Investment with €20m Green Genius bond issue

Bird & Bird Italy & Spain offices cross-border team has assisted Eiffel Investment Group SAS and the vehicles dedicated to the energy transition it manages in the €20 million bond issue promoted by Green Genius

This bond issue by Green Genius, the energy transition business of Modus Group, has been issued for the purpose of financing the disbursement of the late-stage development costs and pre-construction capex related to one of the largest pipelines of photovoltaic plants located in Italy and Spain.

The cross-border transaction involved several jurisdictions, including Lithuania, Italy and Spain. Bird & Bird acted alongside the bondholders in the negotiation and review of the financial documentation and all Italian and Spanish law documentation as well as in the Legal Due Diligence activities related to the projects.

Partner Pierpaolo Mastromarini, head of the Energy & Utilities sector in Italy, and a team comprising associate Vincenzo Giorgio and trainees Gloria Bernardini and Arianna Mauri oversaw the review of the subscription agreement, the drafting of the security package and the Legal Due Diligence aspects as well as coordination with Spanish colleagues involved in the transaction. Partner Simone Cadeddu and senior associate Enrico Maria Curti also handled all administrative law aspects.
