Barclays instructs Pérez-Llorca on EMTN and ECP programmes

Barclays has instructed Pérez-Llorca on the renewal of a €25 billion EMTN and a €10 billion ECP issued by Santander Consumer Finance

Pérez-Llorca advised Barclays as Arranger and the rest of the Dealers on the renewal of Santander Consumer Finance’s Euro Medium Term Note (EMTN) programme worth €25 billion.

The firm advised on the drafting and negotiation of the prospectus and other programme documentation. One of the most relevant legal aspects in relation to this renewal has been, among others, the adaptation of the EMTN program to the new requirements of the prospectus regulations (PD3).

On the other hand, Pérez-Llorca also advised Barclays as Arranger and the other Dealers on the renewal of Santander Consumer Finance´s Euro Commercial Paper (ECP) programme for an amount of €10 billion.

The firm has advised on the drafting and negotiation of the “Information Memorandum” for the issuance of debt instruments under the ECP programme and other documentation.

Pérez-Llorca´s team leading both operations included Capital Markets partner Carlos Pérez Dávila (pictured) and lawyer Nicolás Cuchet.
