AG and Aviaction €150M integration: advisors
Andersen in Spain has advised private equity firm Magnum Capital Industrial Partners, that, alongside Artá Capital, backed the integration of AG Universe and Aviaction, aircraft maintenance platforms. The transaction creates the largest MRO (Maintenance, Repair & Overhaul) services platform in Spain for commercial and business aviation. Eversheds Sutherland Spain has advised Artá Capital on this deal.
The deal has an estimated valued at more than €150 million, according to press reports. Magnum and Artá will hold similar stakes in the company resulting from the merger and will control approximately 90%, the parties said in a joint statement. The integration aims to strengthen the group’s operational capabilities, generate new synergies and accelerate its international expansion. Jose Capilla, founder of AG, will remain a shareholder in the new group and will take on the role of executive chairman.

On Andersen’s side, advice was led by Carmen Mozún Muñoz, partner in Andersen’s Corporate and M&A practice and member of the Transport, Mobility & Logistics group, together with Jaime Arca Jaudenes, senior associate in the Corporate and M&A department.
Eversheds’ team was led by partner Ignacio Balaña, together with senior associate Diego Muro Matoses, associate Ana González Orcajo and junior attorney Rocío Merino Contreras, all from the Corporate/M&A and Private Equity practice. The tax team comprised partner Luis Suárez de Centi Martínez and senior associate Jaime Gordillo, while the competition team included partner Crisanto Perez-Abad and legal director Alberto Pérez.
