Abreu advises Plasman on Portuguese subsidiary sale
Abreu Advogados advised Plasman Europe, a Swedish company within the Plasman group, on the sale of the entire share capital of Plasman Portugal to US-based JAC Products. The cross-border transaction involved the transfer of 100% of the share capital of the Portuguese subsidiary, which operates an automotive components manufacturing facility in Carregado, Alenquer.
Abreu Advogados acted as legal counsel on all Portuguese law matters relating to the transaction, including the corporate and equity restructuring of the target company carried out prior to the deal, support with the seller-side due diligence process, and the drafting and negotiation of the share purchase agreement and other related transaction documents. The advice also covered corporate, employment, tax, real estate, environmental and competition law matters, along with merger control analysis.
