Latham & Watkins, Garrigues and Uría Menéndez on Lottomatica’s Cirsa deal
Lottomatica Group and Cirsa Enterprises have entered into a binding all-share business combination agreement. The transaction, subject to approval by the shareholders’ meetings of both companies as well as other conditions precedent, will be implemented through a cross-border merger under which Cirsa will be absorbed into Lottomatica.
The combined entity will retain the Lottomatica name and will operate in the sports betting and gaming sector across Italy and Spain, with additional presence in other markets. Lottomatica’s shares, including the new shares to be issued to Cirsa’s shareholders as part of the deal, will continue to trade on Euronext Milan and, once the transaction completes, will also be admitted to trading in Spain.
