Freshfields advises Paine Schwartz on AMFRESH deal

Freshfields has advised Paine Schwartz Partners on the Spanish law aspects of a structured minority investment in AMFRESH Group, a family-owned, vertically integrated fresh produce company, and its subsidiary BLOOM FRESH International, a multi-fruit breeding and IP licensing platform. The transaction builds on a long-standing investment relationship between the firm and Paine Schwartz Partners and reinforces the fund’s position in the sustainable food and agribusiness sector.

The advice was given to Paine Schwartz Partners Chain Fund VI on this latest investment. Freshfields previously advised Paine Schwartz Partners Chain Fund V on its 2019 initial investment in Special New Fruit Licensing (SNFL) and on the subsequent combination of that business with International Fruit Genetics (IFG) to form BLOOM FRESH International in 2023.

The team

The Freshfields M&A team advising on the transaction was led by partners David Franco and Miriam Pérez-Schafer, together with associates Adriana Fernández and Xabier León, and legal intern Javier Herrero. Of counsel Ignacio Borrego and associate Pilar Aguilar supported the deal on foreign direct investment matters, while partner Bosco Montejo and senior associate Javier Sánchez advised on tax aspects. The finance side of the transaction was handled by partner Cristina Esteve together with associates Adrián Adrianov and Raquel Cuesta.
