Pinsent Masons advise on the acquisition of Opificio Cerámico
Pinsent Masons has advised on the acquisition of Opificio Ceramico by Italcer through the Spanish company Equipe Cerámicas.
Italcer Group, one of Italy’s leading manufacturers of ceramic floor and wall tiles and bathroom furnishings, announces that it has initiated the process of acquiring Opificio Ceramico, a Modenese company specialized in the sale of high-end luxury ceramic surfaces, with a special focus on small handcrafted formats and custom-made products.
With this operation, the Modenese company becomes part of the Group through the acquisition by the Spanish company Equipe Ceramicas of a 20% minority stake, with a purchase option already agreed for the acquisition of the majority.
Italcer Group would thus confirm its position as one of the leaders in the ceramic sector, in Italy and worldwide, with an expected turnover in 2023 close to 400 million euros.
The acquisition would be the ninth in six years for the Group, which counts Mindful Capital Partners, Miura and Capital Dynamics as reference shareholders and is led by Graziano Verdi. Opificio Ceramico follows La Fabbrica-AVA, Elios, Devon&Devon, Rondine, Spain’s Equipe and Fondovalle.
Equipe Ceramicas was advised by Pinsent Masons, led by partner Francisco Aldavero Bernalte, together with Rocío García Nardiz, associate.
Opificio Ceramico was assisted by Studio Legale Salardi of Modena, led by founding partner Stefano Salardi.
