CMS advises on the adquisition of a 15MWp pv plant in Valladolid
CMS Albiñana & Suárez de Lezo has advised a renewable energy investment fund RE Infrastructure Opportunities and its management company Re:Cap Global Investors AG based in Switzerland, in the acquisition of a 15 MWp photovoltaic plant in operation, located in Aldeamayor de San Martin (Valladolid). The transaction has been structured as a purchase and sale of 100% of the shares of a Spanish company Inver Generación 1 and an assignment of the intra-group loan.
The CMS team has assisted the client in the legal due diligence process, the negotiation of the sale and purchase agreement and the closing of the transaction.
The transaction has been led by a multi-jurisdictional M&A team of CMS in Spain and Germany: Luis Miguel de Dios, partner, Matthias Sethmann, principal counsel and Aleksandra Czajka, senior associate. The team has been supported by Ricardo Héctor Lorca, partner in the tax area and Juan Moreno, counsel in the public law and regulated sectors area.
