Azeredo Perdigão & Associados advises on Inditex Portugal merger
Azeredo Perdigão & Associados has advised on the process of merging the nine companies that make up the Inditex Portugal group into a single company, Zara Portugal, SA
The merger by incorporation operation, in the form of a global transfer of the assets of the incorporated companies to the incorporating company, involved around 5,000 workers, 350 stores, and the transfer of real estate, with an equity value exceeding €15 million.
“Our intervention in an operation of this size is proof that a medium-sized law firm has the capacity to coordinate, from a legal point of view, large operations”, explains Miguel de Azeredo Perdigão (pictured), partner and managing partner of Azeredo Perdigão & Associates.
In this process, the lawyers Miguel de Azeredo Perdigão, partner and managing partner, and Inês Henriques de Matos and Pedro Morão Correia were responsible for structuring all the legal operations identified above.
The performance of Inditex group, one of the largest fashion retailers worldwide, with nine brands (Bershka, Lefties, Massimo Dutti, Oysho, Pull & Bear, Stradivarius, Uterquê, Zara Home and Zara) sold in 202 markets, either through its platform online, either through the approximately 6,800 stores in Portugal, was provided by nine different companies, each company being responsible for the exploitation of precisely each of the Group’s nine brands present in the Portuguese market, with the Group’s activity being subdivided in a corporate logic -Brand.
