UM advises ISDI on investment agreement with Magnum

Uría Menéndez has advised Madrid-based ISDI on an agreement with Magnum Capital, in which it acquired a 70 per cent stake in the online business school to jointly create a Digital Talent Group

Spanish Private Equity firm Magnum Capital has invested in Madrid-headquartered digital business school ISDI (Instituto Superior para el Desarrollo de Internet) with the aim of jointly developing a new project called Digital Talent Group, which will focus on business and digital technology education in Spain, Latin America and the United States.

ISDI’s founders, Javier Rodríguez Zapatero (former general manager of Google Spain, Portugal and the Middle East) and Nacho de Pinedo will continue to lead the new group as president and CEO, respectively.

This represents the first investment that the Private Equity firm has made through its Magnum III fund for an amount of €35 million, with an enterprise value of €50 million (30 times EBITDA). According to TTR, this was the deal of the month (August) in Spain.

The objective of Digital Talent is to contribute to the digitalization of the economy by developing high-quality training in digital skills with a focus on employability, entrepreneurship and digital transformation, developing a complete training scheme encompassing Master´s and university degrees, technical certifications and professional training.

Uría Menénez advised ISDI’s shareholders on the deal with a team led by Corporate and Commercial partner, and co-head of the M&A and Private Equity area Manuel Echenique (pictured), together with Corporate/M&A associates Sergio Moreno and Pedro Belda.

Magnum Capital was advised by EY and Herbert Smith Freehills.
