Verdalia on the acquisition of four biomethane plants

Verdalia Bioenergy, a company specializing in the development, acquisition, construction and operation of biomethane plants in Europe, has acquired, with the support of Goldman Sachs AM’s Infrastructure business, four ready-to-build biomethane plants, two in Piedmont and two in Friuli-Venezia Giulia.

The projects, which will be operational between the end of 2025 and the second quarter of 2026, will have a total annual production capacity of about 230 GWh of biomethane from the processing of 262,000 tons of biomass of animal and plant origin. The portfolio aspires to eliminate about 53,000 tons of greenhouse gas (CO2) emissions per year.

Verdalia Bioenergy followed the transaction with an in-house legal team composed of Group General Counsel Pedro Perea, Head of Legal Italy Letizia Giampieri, and Legal Manager Spain Javier Franch.

WFW assisted Verdalia with a multidisciplinary team led by Counsel Matteo Trabacchin, supported by Associates Francesca Angelilli and Dario Matrecano for aspects pertaining to the drafting and negotiation of the sale and purchase agreement and the development services agreement. Partner Tiziana Manenti, assisted by Senior Associate Anthony Bellacci and Associates Antimo Rocco Nersita and Marco Iannotti, handled aspects related to legal due diligence.

The transaction was carried out in partnership with Healthy Business Advisory, a developer of biomethane plants with experience in the renewable energy sector in Italy.
