Grant Thornton advises on Septeo’s acquisition of Witbooking

Grant Thornton has advised Septeo, a leading European company in the development of transversal software for the integrated management of reservations for the entire value chain of tourist accommodation, on its acquisition of the Spanish company Witbooking, a leading company in the hospitality sector and specialised in the design and development of booking engines for establishments and groups of tourist establishments.

The acquisition of Witbooking, together with that of ACIGrup in February of this year and Tesipro Solutions, HotelsDot, Revenue Control Data, Unicamp, Master Cámping, e-Axess and Qualitelis in July 2023, makes Septeo Hospitality one of the leading technology verticals in the sector in Europe, creating the first digital ecosystem capable of covering the software needs of almost all the different segments of the industry, while integrating in a transversal way the vast majority of the links in the value chain of accommodation and tourist accommodation groups: operations, pricing, reservations, e-reputation, cybersecurity, etc.

Septeo Hospitality thus reinforces its strategic position in the sector, reaffirming its commitment to expand in the international market through a set of solutions based on innovation, active listening and local service: brand values that are aligned with the values of Witbooking, which guarantees a total integration of the company’s knowledge and talent in the group.

In addition, as with Septeo’s other acquisitions, Witbooking will maintain its philosophy and its team, but will have the necessary investment in R&D&I, cybersecurity, infrastructure and artificial intelligence to evolve into an advanced solution, fully adapted to the present and future needs of the industry.

Advisors

Specifically, the Firm has been responsible for completing all the financial, tax, legal and labour advice required for the transaction. In addition, Grant Thornton has closed the sale and purchase agreement for Septeo in this important investment by the French group in Spain.

The transaction has been developed thanks to the intense collaboration and coordination of several teams from Grant Thornton’s offices in Madrid and Barcelona. Specifically, the Financial Due Diligence was completed by partner Jorge Tarancón and director Álvaro Vivanco.

Partner Jordi Santamaría and senior associate Salvador Cortina were in charge of the legal advice and SPA (Share Purchase Agreement) as well as the Due Diligence; the tax requirements of the sale and purchase were supervised by partner José Antonio Justicia; and, finally, the Labour Due Diligence was handled by director Cristina Orejas (all pictured from left to right).
