Ramón Y Cajal: Advisory Role in Capital Increase for Colonial
Inmobiliaria Colonial has successfully completed a capital increase, raising 622 million euros through cash and non-cash contributions. The new shares will be subscribed directly and indirectly by Criteria, increasing Criteria’s stake to approximately 17% of Colonial’s share capital.
The socimi has received a capital increase of 622 million euros from the financial institution, which will provide 350 million euros in liquidity and 272 million euros in assets through eight office and living properties in Spain. Following this acquisition, Criteria will become the largest shareholder of Colonial and will appoint two representatives to the company’s board of directors. The investment arm of the La Caixa Banking Foundation will control around 17%. It entered the company in March with a 3% stake, ten years after divesting its position in the company.
Ramón y Cajal Abogados has advised Colonial on this transaction. The advisory team for this operation included partner Lucía García Clavería, senior associate Pablo Tejerizo Solanilla, partners Miguel Ferre Puy, Francisco Bengoetxea Arrieta, and Luis Rodríguez-Ramos Ladaria.
