Pérez-Llorca advises Impag on Comindex acquisition

Pérez-Llorca has advised Impag Group on the acquisition of Spanish company Comindex. With this transaction, Impag Group continues its strategy of growth and targeted expansion across Europe. The transaction was signed in December 2025, and is expected to close in the first quarter of 2026, subject to customary closing conditions.

Impag Group, headquartered in Zurich with subsidiaries in Switzerland, Germany, Poland, France, Austria, and Spain, is a chemical distribution company supplying and supporting life science and material science industries in Europe with raw materials and services. This operation is supported by Impag’s partnership with Deutsche Private Equity (DPE).

Comindex, based in Montornès del Vallès near Barcelona, is an independent distributor of specialty chemicals, active since its founding in 1959. Under the umbrella of Impag Group, Comindex will further strengthen its market position in Spain, Portugal, and North Africa, and will play a key role in the Material Science segment of Impag Group.

The Pérez-Llorca team involved in the transaction was led by corporate M&A partner Javier Carvajal and included Isa Rodrigues and Francisco Soares de Sousa from the corporate M&A team, alongside employment, compensation and benefits partner Isabel Moya and lawyer Paola Vegazo.
