Ontier and Broseta on Oftalvist sale

Ontier has advised the insurance and healthcare group Asisa/HLA on European Union and Competition Law matters in connection with the sale of a 59.27% equity stake in its ophthalmology clinic subsidiary, Oftalvist, to the European group Sanoptis, an ophthalmology operator with a presence in six countries and more than 490 centres. For the corporate and transactional aspects of the deal, Asisa/HLA was advised by Broseta.

Oftalvist operates a network of 43 ophthalmology clinics across 15 Spanish provinces. The transaction marks Sanoptis’ entry into Oftalvist’s shareholder structure and entails a change in the company’s control arrangement, moving from Asisa’s sole control to joint control by Asisa and Sanoptis.

The legal aspects of the transaction on the Asisa/HLA side were led internally by the company’s general secretary, Mariano Caballero, and its head of legal affairs, Elia Esteban.
