MFE to acquire 32.9% stake in Impresa: advisors

MFE–MediaForEurope, the holding company of the Italian Mediaset group, has signed binding agreements with Portuguese Impresa and its controlling shareholder, Impreger. Under these agreements, Impresa will issue new shares, and MFE will purchase them, giving MFE a 32.9% ownership stake and the same proportion of voting rights in Impresa.

Impresa is a Portuguese media groups, operating eight TV channels and the newspaper Expresso, and is listed on the Lisbon Stock Exchange, with a strong footprint in Portuguese-speaking markets worldwide. Closing is expected in the first quarter of 2026 and remains subject to the usual conditions precedent, including confirmation by the competent Portuguese authority of the exemption for MFE from the obligation to launch a takeover bid.

Advisors

MFE was advised by Pérez-Llorca through its Lisbon and Madrid offices, on Portuguese and Spanish law matters, and by NautaDutilh on Dutch law. Impresa was represented by PLMJ. On corporate and capital markets aspects, MFE also relied on BonelliErede.
