MCH sells Grupo Vaughan to Tutore Group: Advisors

Deloitte has advised the Polish education group Tutore, and indirectly the private equity firms Capmont and Innova Capital, on the acquisition of 100% of Grupo Vaughan, a Spanish language teaching company with more than 45 years of experience.

The previous majority shareholder, MCH Private Equity, has ended its stake in Vaughan with this transaction, following a period in which the company expanded its digital presence and business lines.

With the integration, Tutore Group will incorporate the structure of Grupo Vaughan, which will maintain its current organization, adding an international network and a technology platform with the aim of boosting its development in European and global markets.

Teams from Deloitte Legal and Deloitte Transactions participated in the transaction, providing advice within the framework of the End-to-End M&A strategy. The services provided included financial, tax, legal, labor, and competition due diligence, as well as legal and tax advice on the sale and financing of the transaction. The Deloitte Legal team advising Tutore included Guillermo Donadeu García-Nieto (director), Andrea Suárez López (senior associate), and Maria Teresa Sanahuja Casas (associate). Mercedes Segoviano Guilarte (director) provided advice on competition matters, while Xavier Betran (partner) and Alexandra Prujà (senior associate) from the tax team participated in this transaction.
