HSF Kramer advises on the closing of Urbaser’s €2.7b multi-tranche financing

Herbert Smith Freehills Kramer has advised the initial purchasers and lenders on Spanish law issues relating to the €2.7 billion multi-tranche financing package for Luna 2.5, the parent company of the Urbaser Group, a world leader in environmental solutions owned by Platinum Equity.

The financing structure included a combination of international Eurobonds under Rule 144A and Regulation S, and Euro-denominated commercial bank loans.

The Madrid team consisted of Armando García-Mendoza (partner), Luis Clouet (of counsel), Carmen Hermosín (senior associate) and Miguel Alvargonzález (associate). Marta Esteban (of counsel) provided specialised advice on tax matters. Separately, a team comprising Sergio Cires (partner) and Ricardo Echevarría (associate) advised the existing lenders on Spanish law issues relating to the cancellation of the existing financing and the release of the existing security documents.
