Grupo Licores de Guatemala acquires Puerto de Indias: advisors
Grupo Licores de Guatemala, an international group in the production and marketing of spirits, has reached an agreement to acquire 100% of the share capital of Puerto de Indias, the Spanish gin brand, from H.I.G. Capital. In this transaction, Licores de Guatemala received legal support from Greenberg Traurig and Pérez-Llorca. H.I.G., for its part, was advised by Cuatrecasas.
Under H.I.G.’s ownership, Puerto de Indias has initiated its international expansion and developed its operational capabilities (including the launch of its new production facility in Carmona, Seville). With this acquisition, Grupo Licores de Guatemala aims to strengthen its presence in Europe.
With more than 80 years of history, the group has a solid industrial and commercial platform and experience in developing premium brands. Its best-known labels include Ron Zacapa, as well as Ron Botrán, Ron Venado, Gin Xibal, Quezalteca, Trenzuda, Mizata and Petrov, among other key group brands.
Pérez-Llorca has worked closely with Greenberg Traurig, which acted as lead counsel for the buyer. ON Greenberg Traurig’s side, the team included shareholder Carol Barnhart, co-chair of the Miami corporate Practice; Miami corporate shareholders Henry R. Roque and Arnaldo C. Rego, Jr.; and associate Meryl Roux Jimenez.
On Pérez-Llorca side, the team involved in the transaction was made up of partners Javier Gómez, Juan Oñate, Cosme Colmenero, Juan Jiménez-Laiglesia, and lawyers Rodrigo Turcios, Darío Gonzalez-Campos, Alessandro Mazza, Ane Corrales, and Teresa Álvare.
