Grupo Echevarne acquires Aspy Global Services for €145M: advisors
Grupo Echevarne has acquired Aspy Global Services, a prevention subsidiary of Atrys Health, for €145 million. The transaction, announced by Atrys to Spain’s National Securities Market Commission (CNMV), involves the sale of 100% of Aspy’s share capital. Grupo Echevarne was advised by ViaLegis, while Pinsent Masons has advised Atrys Health.
The deal remains subject to regulatory approvals and the approval of Atrys’ general shareholders’ meeting. Atrys expects completion and settlement of the transaction to take place during the first quarter of 2026. The purchase price will be paid at closing and will be subject to standard net debt adjustments.
The parties have also included an additional contingent payment of up to €5 million, should Grupo Echevarne resell Aspy to a third party within one year of closing at a higher valuation. Atrys, a provider of telemedicine and medical services, explained that the divestment of its prevention division aligns with its strategic focus on business areas with greater growth and profitability potential, while significantly reducing its current debt levels.
The Pinsent Masons team was led by partner Francisco Aldavero together with associate Juan Hernández-Canut (both picture from left to right). They worked closely with Gabriela Camuñas, general counsel of Atrys.
