García y Vieira Business Partner advises Ktesios SOCIMI in the presentation of its offer to acquire Mistral SOCIMI

Ktesios, the leading SOCIMI in investment in affordable rental residential assets in non-prime areas, has submitted a conditional offer for the acquisition of the SOCIMI Mistral Patrimonio Inmobiliario.

The transaction launched by Ktesios SOCIMI consists of the acquisition of all the shares of the SOCIMI Mistral Patrimonio Inmobiliario currently listed on BME Growth. These shares will be assigned at a price of 0.98 euros according to the market. The proposal includes the payment of 20% in cash and the remaining 80% in one year, plus a possible variable component.

This transaction involves the addition of 170 assets to Ktesios SOCIMI’s portfolio, distributed in different locations in the cities of Seville, Girona, Alicante, Navarra and Pontevedra.

Currently, according to the RICS valuation of Mistral SOCIMI as of December 31, 2024, the total value of the assets amounts to 19.6 million euros. As for the type of assets, they include housing, garages, commercial premises and storage rooms.

Second microsocimis transaction

In 2023, the company announced the first merger transaction in the market as part of this strategy, formalizing the acquisition of QPQ SOCIMI.
