Eversheds Sutherland advises Sonnedix Spain on the acquisition of Rixiraba Enegía Solar
Eversheds Sutherland has advised Sonnedix Spain, a leading independent power producer (IPP) in the renewable energy sector, on the acquisition of Rixiraba Energía Solar from Danish renewable energy group Nordic Solar.
The transaction involved the purchase of 100% of the shares of Rixiraba Energía Solar, which owns a 12.56 MWp ground-mounted photovoltaic (PV) plant located in Badajoz, Extremadura. Commissioned in 2008, the solar plant operates under Spain’s RD 413/2014 regulatory framework, benefiting from a 14-year guaranteed special remuneration scheme.
Eversheds Sutherland provided comprehensive legal and tax advice, including due diligence on the target company and its assets, structuring of the transaction, and negotiation and closing of the sale and purchase agreement (SPA).
This acquisition marks another milestone in Sonnedix’s growth strategy in Spain, reinforcing its position as a key player in the renewable energy market.
The deal was led by Carlos Pemán (partner, M&A Energy) and Rafael Cruz (counsel, Energy) from Eversheds Sutherland Spain, with support from José Fernández de Mesa Vargas (counsel, Tax).
