EPSA Growth adquires 100% of FI Group: Advisors

The French consulting firm EPSA Growth, an investee of Towerbrook and Capza, has acquired 100% of FI Group, a Spanish firm specialized in advising companies on tax issues, R&D investments and obtaining government aid.

FI Group is a global consulting firm specialized in the management of financing incentives. With more than 25 years of experience, the company operates in Europe, North and South America and Asia, with 34 offices and 1,400 international experts. FI Group supports more than 15,000 clients in financing innovation, securing funds for their R&D activities through comprehensive management of R&D-related grants and tax benefits.

This transaction results in an expanded business unit dedicated to innovation financing with global coverage.

With the backing of EPSA, FI Group will continue to expand its international presence to address the global challenges of large multinational corporations, while providing local advice to companies of all sizes in a growing number of countries. From now on, FI Group and EPSA clients will have global coverage and a broader service offering focused on improving financial performance, all while maintaining the same excellence in management that characterizes both companies in the different markets in which they are present.

Hogan Lovells has advised the French consulting firm EPSA Growth. The cross-border group has been led from the Paris office, with partner Stephane Huten at the head and with the support of counsel Alexandre Giacobbi and associate Rudy Merlet. From Madrid, the Corporate M&A and Tax areas have also collaborated with Eduardo Pérez (counsel, Corporate M&A), Juan Garicano (partner, Tax), Alejandro Moscoso del Prado (counsel, Tax), Alexis Panizo (senior associate, Tax) and Priscila Méndez (associate, Tax).

BDO Abogados has been in charge of the financial, tax, legal and labor vendor due diligence of the group. Fernando Muñoz de Campo and Clemente Sanz Veiga were in charge of the tax due diligence. On the other hand, Álvaro Marco Asensio and Mariano Nuéz-Samper Marcet were in charge of the legal due diligence and Lorena Barrera Mendez, of the labor due diligence.
