Dentons, Toda & Nel-lo advise on EPAM´s acquisition of Optiva Media

Dentons has advised EPAM Systems, Inc. on the acquisition of Optiva Media and its subsidiaries, with the seller advised by Toda & Nel-lo

Optiva Media helps television companies around the world from engineering to operations, media and metadata management, product design and development, research and business and technical consultancy.

The transaction included the purchase by the Spanish subsidiary of EPAM Systems (a US-based company listed on the NY Stock Exchange) of 100% of the shares of the Spanish company Consultora de Telecomunicaciones Optiva Media, S.L. which in turn wholly owns subsidiaries in Spain, Germany and Portugal. It also included the purchases by EPAM Systems’ Colombian subsidiary of the assets owned by the Colombian subsidiary of the Optiva Media group.

The Dentons cross-border deal involved lawyers from Spain, the US, Colombia, Germany, Portugal, the Czech Republic and Poland. Barcelona-based partner Nieves Briz (pictured top left) led Dentons’ European team, assisted by counsel Natalia Ontiveros (pictured bottom left). Counsel Juan Alonso (pictured top right) and associate Sara Moukayed (pictured bottom right) provided Employment law advice. Partners Tomáš Bilek from Prague, Aleksandra Minkowicz-Flanek from Warsaw, and Frank Lenzen from Frankfurt were also part of the multijurisdictional team involved.
