Deloitte Legal Telles advises Vallis on Costa Verde deal

Deloitte Legal Telles has advised Vallis Capital Partners on the acquisition, through its vehicle Anagama II, of more than 90% of the share capital and voting rights of Porcelanas da Costa Verde, a porcelain manufacturer founded in Vagos, Portugal, in 1992. The transaction, announced on 23 April 2026 in Lisbon, also covered the negotiation of investment and shareholders’ agreements.

The firm provided legal advice across all phases of the process, including due diligence on the target company with red-flag reporting, preparation and negotiation of the transaction’s legal documentation, and support in the structuring, negotiation and execution of a set of financing agreements — including the related security packages — aimed at funding the acquisition and refinancing the group’s existing debt.

Target company profile

Porcelanas da Costa Verde is a player in the porcelain sector, with a presence in more than 50 international markets. More than two-thirds of its sales are generated outside Portugal, primarily in the domestic, hospitality and food service segments, reflecting a strong export-oriented profile.
