Cuatrecasas advises on the acquisition of SD Huesca

Cuatrecasas has advised Grupo Costa and Grupo Arqa on the acquisition from Fundación Alcoraz of 95.75% of the share capital of the sports company SD Huesca. The transaction marks the completion of a process that began in August 2024, when Costa and Arqa provided financing to Fundación Alcoraz, which was essential for the rescue, operational continuity and stabilisation of the club. That initial financing has now culminated in both business groups taking control of the sports public limited company.

Both Grupo Costa, an agri-food holding with a strong footprint, and Grupo Arqa, focused on fostering and scaling technology companies at national and international level, have been involved from the outset in the club’s economic and structural reorganisation. Their role included reviewing the viability plan and renegotiating financial agreements and key payments.

For SD Huesca, the transaction represents renewed institutional momentum and the arrival of two business groups committed to the sporting project and to its consolidation and growth, ensuring the sustainability and viability of its programmes and activities. For Fundación Alcoraz, the deal enables the resolution of its debt situation and allows it to continue carrying out its social and sporting mission in the province under normal conditions. In both cases, the acquisition does not entail any changes to the current governance model or structure.
